PRIVATIZATIONS

  • The Firm acted as counsel to the GMR Infrastructure Limited and Megawide Construction Corporation Consortium, which won the concession to rehabilitate, expand, modernize, operate, and maintain the Mactan-Cebu International Airport for a period of 25 years. With a total project cost of Php17.5 Billion, this was the biggest infrastructure deal offered to investors so far under the Public-Private Partnership (PPP) program of the Philippine Government. Atty. Alex Erlito S. Fider and Atty. Luis Manuel L. Gatmaitan were the handling partners.   • The Firm acted as legal counsel to MPCALA Holdings, Inc., a subsidiary of Metro Pacific Tollways Development Corporation, in the bidding conducted by the Department of Public Works and Highways for the financing, construction and operation of the Cavite-Laguna Expressway, a 45-kilometer, four-lane expressway starting at the Manila-Cavite Expressway in Kawit, Cavite and ending at Mamplasan Interchange of the South Luzon Expressway in Biñan, Laguna. The Firm actively participated in the structuring of MPCALA Holdings, Inc. and the preparation of a competitive bid of MPCALA Holdings, Inc. Atty. Alex Erlito S. Fider and Atty. Cherrylyn G. Prado-Caoile were the handling partners. (2014)

  • The Firm is acting as counsel to Metro Pacific Tollways Development Corporation [MPTDC], a subsidiary of listed company Metro Pacific Investments Corporation, in relation to its unsolicited proposal for the design, financing, construction and operation of the NLEX-SLEX Connector Road Project, a 13.53-km elevated toll road utilizing the right-of-way of the Philippine National Railway (PNR), which will link the existing South Luzon Expressway (“SLEX”) to the North Luzon Expressway (“NLEX”). MPTDC and its subsidiaries were granted by the Department of Public Works and Highways (DPWH) original proponent status for the aforesaid unsolicited proposal, which was submitted in accordance with Republic Act No. 6957, otherwise known as the Build-Operate-Transfer Law, as amended by Republic Act No. 7718, and its Implementing Rules and Regulations. Atty. Alex Erlito S. Fider is the handling partner. (2014) The Firm continues to be actively involved in the negotiations between DPWH, as implementing agency, and the Original Proponent on the terms and conditions of the toll concession agreement for the NLEX-SLEX Connector Road Project, as well as the conduct of the Swiss Challenge for the unsolicited proposal.   • The Firm acted as legal counsel to Bright Future Educational Facilities, Inc. (“BFEFI”) when it participated in the second bidding conducted by the Department of Education for the design, financing, and construction of approximately 10,600 classrooms to be located in various school buildings in fourteen (14) regions in the Philippines. Atty. Alex Erlito S. Fider and Atty. Cherrylyn G. Prado-Caoile were the handling partners. (2013)

  • The Firm acted as legal counsel to the consortium composed of Metro Pacific Investments Corporation, Smart Communications, Inc., Meralco Financial Services Corporation, AC Infrastructure Holdings, Inc., BPI Card Finance Credit Corporation and Globe Telecom, Inc. which was awarded by the Department of Transportation and Communications the contract to construct and operate the Automated Fare Collection System for LRT1, LRT2 and MRT3 pursuant to a competitive selection process. Atty. Grace G. dela Cruz was the handling partner. (2013)

  • The Firm acted as legal counsel to Bright Future Educational Facilities, Inc. (“BFEFI”), when it successfully participated in the bidding conducted by the Department of Education (“DepEd”) for the design, construction, maintenance and lease of about 9,300 school buildings under a Build-Lease-Transfer contractual arrangement. The project, which was divided into three contract packages, was intended to supplement the current initiatives of the DepEd to address the classroom backlog with the assistance of the private sector. BFEFI was declared the winning bidder of one of the three contract packages and executed a Build-Lease-Transfer Agreement with the DepEd. Atty. Alex Erlito S. Fider and Atty. Cherrylyn G.   • The Firm acted as legal counsel to Manila North Tollways Corporation (“MNTC”) when it participated in the public bidding conducted by Bases Conversion and Development Authority in 2009-2010 for the management, operation and maintenance of the Subic-Clark-Tarlac Expressway. MNTC as the sole eligible bidder entered into negotiations with MNTC which culminated in the execution of the Business Operating Agreement between the two entities in 2011. Atty. Alex Erlito S. Fider and Atty. Grace G. dela Cruz were the handling partners. (2011)

  • The Firm acted as counsel to National Grid Corporation of the Philippines, the winning bidder in the US$3.95 Billion privatization of the National Transmission Corporation (Transco), in its take-over of the assets and business of Transco including its operation of the national transmission grid in the Philippines, and in its successful application with Philippine Congress for a legislative franchise (Republic Act No. 9511) to operate the national transmission grid. Atty. Silverio Benny J. Tan, Atty. Carlo Magno J. Verzo, Atty. Peter D. Barot, Atty. Recaredo C. Borgonia and Atty. Paul T. Salanga were the handling partners. (2008 - 2010)
